These Terms of Service and End-User License Agreement (together, the "Terms") are a binding agreement between you ("you," "your," or "User") and Avonya, Inc. ("AvonyaLabs," "we," "us," or "our") governing your access to and use of the AvonyaLabs website and virtual-staging service (the "Service"). By checking the box to accept these Terms, creating an account, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
AvonyaLabs provides AI-assisted "virtual staging" and photo enhancement. You upload a photograph and the Service returns an enhanced version — for example, adding furniture and decor to an interior, or improving the sky, landscaping, and lighting of an exterior. The Service is designed to enhance the presentation of a property while leaving the underlying structure and condition of the property as photographed. Enhanced images are digital renderings and do not depict the actual, physical condition, contents, or furnishings of any property.
You must create an account to use the Service and provide an accurate email address. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. We store passwords using industry-standard salted hashing and never in plain text. Payment card information is processed entirely by our third-party checkout provider (Shopify) over encrypted connections; AvonyaLabs does not receive or store your full card details. You agree to notify us promptly of any unauthorized use of your account.
You may upload, stage, and preview images at no charge. Preview images are displayed at reduced resolution and bear an "AvonyaLabs" watermark. The full-resolution, watermark-free version of an enhanced image is made available for download only after payment for that specific image is completed through our checkout. Fees are charged on a per-photo basis at the price shown at checkout. Except where required by law, payments are non-refundable once the full-resolution image has been delivered. You may store both your original and enhanced images in your account library; stored enhanced images remain non-downloadable at full resolution until the applicable payment is processed.
Once you have paid for an enhanced image, AvonyaLabs places no licensing restrictions on your use of that image. You may use, reproduce, distribute, display, and modify the images you create and pay for however you like, including for commercial real-estate marketing, without owing any further royalty or attribution to AvonyaLabs. You retain responsibility for ensuring you have the rights to any photograph you upload.

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Avonya, Inc., together with its owners, officers, directors, employees, agents, contractors, and affiliates (collectively, the "Avonya Parties"), from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service or any image you create with it; (b) your marketing, advertising, listing, sale, lease, or rental of any property using enhanced imagery; (c) your failure to disclose that images were virtually staged or enhanced; (d) any misrepresentation of a property; or (e) your violation of these Terms or of any law, regulation, MLS rule, or third-party right. You expressly agree to hold Avonya, Inc. and its employees and ownership harmless for any consequences arising from your use, disclosure, or non-disclosure of images produced by the Service.
The Service and all images are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that enhanced images will be error-free, that the Service will be uninterrupted, or that any image is suitable or compliant for any particular use or jurisdiction. AI-generated results may contain imperfections; you are responsible for reviewing every image before use.
To the fullest extent permitted by law, the Avonya Parties will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service, even if advised of the possibility of such damages. The total aggregate liability of the Avonya Parties for any claim arising out of or relating to the Service will not exceed the greater of the amount you paid to AvonyaLabs in the three (3) months preceding the event giving rise to the claim, or fifty U.S. dollars (US$50).
We store the photographs you upload and the enhanced images you create so that you can access them in your account. We use them to provide the Service and, in de-identified form, to operate and improve it; we do not sell your photographs. To generate enhancements, uploaded images are transmitted to our AI processing provider solely to produce your result. We apply encryption in transit and reasonable technical and organizational safeguards to protect your data. You may request deletion of your account and stored images by contacting us. Do not upload images containing sensitive personal information you are not authorized to share.
You may not use the Service to: violate any law or third-party right; upload content you do not own or have permission to use; create imagery intended to defraud or deceive; attempt to circumvent the watermark, paywall, or any security or access control; probe, scan, or reverse-engineer the Service; or resell or redistribute access to the Service itself (as distinct from the images you create, which you may use freely under Section 4).
We may suspend or terminate your access to the Service at any time if you violate these Terms or use the Service in a way that could cause harm or legal exposure. You may stop using the Service and close your account at any time. Sections that by their nature should survive termination — including Sections 4 through 8 and 12 — will survive.
We may update these Terms from time to time; material changes will be reflected by the "Last updated" date above, and your continued use after changes take effect constitutes acceptance. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located in California for any dispute not subject to arbitration or small-claims resolution.
